Overview

Sections 13 & 14, Companies Act

Amendments to the Memorandum of Association (MoA) and Articles of Association (AoA) are governed by Section 13 and Section 14 of the Companies Act, 2013. The MoA defines the company's objects, capital, and scope of operations, while the AoA governs internal management rules. Amendments require a Special Resolution (75% shareholder approval), filing of Form MGT-14 within 30 days, and in some cases, prior ROC approval. We handle drafting, approvals, and filings end-to-end.
